Terms of Service & Master Agreement

These terms govern access to and usage of the MicroPlesk cloud HRMS platform, interactive payroll tools, marketing services, APIs, and mobile progressive web applications.

1. Acceptance of Terms

By accessing or registering for the MicroPlesk HRMS Platform (app.microplesk.com), visiting microplesk.com, or utilizing any of our free statutory tools and APIs, you agree to be bound by these Terms of Service, our Privacy Policy, and our Content Copyright & AI Crawling Policy. If you are entering into this agreement on behalf of a company, organization, or employer, you represent that you possess the legal authority to bind such entity.

2. Subscription, Free Trial & Billing

15-Day Free Trial: We offer a 15-day unrestricted trial for qualifying organizations. No credit card is required upfront. All 11 core HRMS modules, eSSL biometric device connectors, and payroll engines are unlocked.

Paid Subscriptions: Plans (Starter ₹2,999/mo, Growth ₹7,999/mo, Enterprise ₹19,999/mo) are billed on a recurring monthly or annual cycle. Fees are non-refundable once a billing cycle initiates, save as mandated by Indian statutory consumer protections.

3. Customer Data Ownership & DPDP 2023 Compliance

You retain 100% full legal ownership, title, and intellectual property rights over all workforce data, biometric punch logs, salary records, employee KYC documents, and leave schedules uploaded or processed within your tenant account.

MicroPlesk acts strictly as a Data Processor under the Digital Personal Data Protection Act (DPDP), 2023. We enforce strict tenant database schema isolation and will never sell, lease, or monetize customer employee data. Customer data is never fed into public AI models for model training or tuning.

4. Content Copyright, Intellectual Property & AI Usage

All software source code, visual branding, proprietary calculation mechanisms (including the Post-Lock Single-Employee Delta Engine, multi-state statutory rules, and payslip formatting algorithms), guides, articles, and interactive utilities are the copyrighted property of MicroPlesk Technologies under the Indian Copyright Act, 1957.

Search Engine & AI Crawling: Search engines and AI answer engines are granted a conditional license to index content and provide search citations strictly with prominent, clickable hyperlink attribution back to MicroPlesk. Unauthorized bulk scraping, data extraction, or ingestion of our calculators and content for AI model pre-training is prohibited.

5. Acceptable Use & Anti-Abuse Provisions

You agree not to:

Reverse-engineer, decompile, or extract the source code or proprietary delta payroll algorithms of MicroPlesk;
Conduct denial-of-service attacks, automated web scraping, or security penetration tests without explicit written consent;
Use the platform or automated email notification features to transmit spam, fraudulent recruitment offers, or defamatory content;
Circumvent account employee thresholds or tenant separation mechanisms.

6. Service Level Availability (SLA) & Security

MicroPlesk targets 99.9% uptime for core attendance punch ingestion and payroll disbursement portals. Data in transit is protected via TLS 1.3 encryption, and sensitive statutory records are encrypted at rest with AES-256.

7. Limitation of Liability

While MicroPlesk automates Indian statutory computations (EPF, ESI, TDS, PT) based on prevailing government notifications, the employer remains the statutory compliance authority responsible for timely Challan filings with EPFO and ESIC portals. MicroPlesk shall not be liable for penalties arising from incorrect master data inputs or delayed government portal submissions.

8. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any legal action or proceeding arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi / Haryana, India.
